About the role
Key responsibilities & impact- Lead and manage the organization's overall legal function, aligning legal strategy with business objectives
- Provide strategic legal counsel to the CEO, executive leadership, and board of directors
- Draft, review, negotiate, and manage commercial agreements, customer contracts, vendor agreements, partnership arrangements, and technology licensing agreements
- Establish legal policies, procedures, and internal controls
- Lead legal activities related to IPO readiness, public listing, and capital-market transactions
- Coordinate with investment bankers, external legal advisors, auditors, and regulatory authorities throughout the IPO process
- Ensure compliance with securities laws, disclosure requirements, listing regulations, corporate laws, regulatory requirements, and statutory obligations
- Manage due diligence, corporate restructuring, legal documentation, and governance requirements for IPO preparation
- Support fundraising, mergers and acquisitions, strategic investments, and other corporate transactions
- Oversee board meetings, shareholder matters, corporate records, and governance documentation
- Develop compliance frameworks, risk assessment procedures, and corporate policies
- Identify legal risks and recommend mitigation strategies
- Advise on SaaS agreements, software licensing, subscription contracts, data protection, intellectual property, and technology-related legal matters
- Review provisions concerning service-level agreements, liability, indemnification, confidentiality, and data security
- Support legal requirements for digital operations, technology partnerships, and international business expansion
- Manage the legal department budget, external counsel relationships, and legal expenditure
- Optimize legal costs while maintaining legal protection and compliance standards
- Build and lead an effective legal team and manage external law firms and specialist advisors
Requirements
What you’ll need- Minimum 12–20 years of relevant experience in corporate legal leadership, preferably as General Counsel, Head of Legal, or a similar senior role
- LLB degree from a recognized institution; additional legal qualifications are an advantage
- Demonstrated experience in IPO transactions, IPO readiness, securities law, and corporate governance
- Prior experience working in a SaaS, technology, or software-based company
- Strong expertise in commercial contracts, regulatory compliance, risk management, and corporate transactions
- Excellent negotiation, communication, leadership, and stakeholder-management skills
- Ability to operate effectively in a fast-paced business environment and advise senior leadership on complex legal matters
